Human Ambassador and Emissary Program:

The Human Ambassador & Emissary Program (the “HAEP”) is brought to you by the MetaHUMAN Foundation (the “Foundation”).

This application form, the ambassador role requirements set out on the website www.humanprotocol.org, and the HAEP handbook set up on the Notion board (the “Handbook”) and any additional guidance (the “HAEP Terms”) relating to HAEP may be amended and/or updated from time to time. Should you qualify as a Human Ambassador or Human Emissary, you agree to be bound by these HAEP Terms. Any incomplete/inaccurate applications shall be invalid. Incomplete, illegible, corrupted, unrecognisable formats, will be disqualified.

Eligibility: The applicant (“You”) are not eligible to apply if you are domiciled in or resident of, or physically present / located in any of UNITED STATES OF AMERICA AND ITS TERRITORIES, CANADA, DEMOCRATIC PEOPLE'S REPUBLIC OF KOREA, CUBA, SYRIA, IRAN, SUDAN, PEOPLE’S REPUBLIC OF CRIMEA, PEOPLE’S REPUBLIC OF CHINA and jurisdictions in which the HAP and/or trading of HMT tokens themselves are prohibited, restricted or unauthorized in any form or manner whether in full or in part under the laws, regulatory requirements or rules in such jurisdiction (hereinafter referred to as “Excluded Jurisdictions”). The Foundation may do standard KYC identification checks before any reward is paid to You.

You are not eligible to apply if you or your team members is an individual or entity that is, or is owned or controlled by an individual or entity that:

(i)     is designated or specified under regulations made under the UK Sanctions and Anti-Money Laundering Act 2018 as extended to the Cayman Islands by Orders in Council or otherwise subject to sanctions measures made pursuant to resolutions passed by the UN Security Council and implemented pursuant to the Terrorism Law and the Proliferation Financing (Prohibition) Law ("Cayman Islands Sanctions");

(ii)     is currently the subject of any sanction administered by the United States Office of Foreign Assets Control of the United States Department of the Treasury ("OFAC") or any other United States government authority, is not designated as a "Specially Designated National" or "Blocked Person" by OFAC or subject to any similar sanctions or measures imposed or administered by the United Nations Security Council, the European Union, Her Majesty’s Treasury of the United Kingdom or similar sanctions administered or imposed by the government of the United Kingdom or any other country (collectively, the "Other Sanctions");

(iii)     is located, organised or resident in a country or territory that is the subject of Cayman Islands Sanctions or Other Sanctions; or

(iv)     has engaged in and is not now engaged in any dealings or transactions with any government, person, entity or project targeted by, or located in any country or territory, that at the time of the dealing or transaction is or was the subject of any Cayman Islands Sanctions or Other Sanctions;

Performance. You will perform all services in connection with the HAEP at Your own expense and using Your own resources and equipment.

Rewards: Rewards will be paid, to the extent earned and payable, in the Human Protocol Foundation’s native HMT Token (“HMT”). In order to receive any rewards You are responsible for ensuring You have a wallet address that can receive HMT. HMT rewards will be payable on the first Wednesday of each month provided a valid invoice is submitted no less than 7 days prior to any due payment of HMT. The amount of HMT awarded, if any, is at the sole discretion of the Foundation and the decision is final and binding on You and the Foundation. The Foundation is not obligated to render any decision regarding any award of HMT, or to pay any compensation or reimbursement of expenses incurred by You in connection with services performed in connection with the HAEP unless or until You complete all specific tasks and milestones agreed to by You and the Foundation. Payments of HMT, to the extent earned and payable, shall constitute Your sole compensation for the performance of services in connection with the HAEP.

You should make your own investigations and assessments of the HMT  that will be delivered pursuant to the HAEP Terms, to the extent earned and payable. You should inform yourself as to the legal requirements applicable to them in respect of the acquisition, holding, trading and disposition of HMT, and as to the income and other tax consequences to You upon acquiring HMT, or as a result of holding, trading and disposing of HMT.

Restrictions. You understand that the Foundation and its affiliates is now conducting and/or may in the future conduct one or more offerings of HMT (each, an “Offering”), which may be conducted in reliance upon exemptions from registration under U.S. federal and state securities laws provided by Regulation D and Regulation S promulgated pursuant to the Securities Act of 1933, as amended (the “Securities Act”), and its applicable state counterparts and that failure to comply with the terms of such exemptions could have a serious adverse effect on the Foundation and its affiliates. You agree to take all actions necessary to comply in all respects with such exemptions and all applicable laws in connection with Your activities under this Agreement, and You shall not take any action or fail to take any action that would impair the eligibility of the Foundation and its affiliates for such exemptions. You shall not promote or discuss any Offering in any capacity, or promote or discuss the HMT, its associated network or ecosystem in any way that promotes the purchase of HMT by persons or entities in Excluded Jurisdiction, or highlights its potential, as an investment, for profit, for speculative trading, its potential for appreciation, or other similar purposes. You represent that it will not undertake or consummate any transaction in any security, or negotiate the purchase or sale of any security or business opportunity, of Foundation or its affiliates, or perform any act, for which a securities license is required by law. Without limiting any of Your other obligations or representations hereunder, You shall not engage in the following activities: (i) negotiate with respect to, participate in discussions regarding, or offer advice regarding any Offering or the securities offered thereby; (ii) assist in structuring any Offering; (iii) pre-screen potential investors for eligibility or otherwise or attempt to gauge the interest of any potential investors to participate in any Offering; (iv) provide any advice regarding the value of HMT or any securities to be offered in any Offering; (v) make any recommendations regarding the advisability of investment in any Offering; (vi) offer any general or specific investment advice of any kind; or (vii) engage in any securities transactions that may result from any Offering, including, but not limited to, the handling of any investment documents, cash or securities. You further acknowledge and agree that any violation of these provisions after the date hereof shall result in immediate termination of this Agreement and forfeiture of any compensation otherwise due or payable.

Contributions: You represent and warrant to the Foundation that you have all right, title and interest to any contributions published in connection with your participation in HAEP and that all contributions are your own original work. The Foundation at its sole discretion will evaluate your project’s contribution to the ambassador role and will determine the amount of (if any) HMT to be rewarded. Due to the changing nature of blockchain companies and the global environment, we reserve the right to cancel payments of any eligible ambassador works at any time.

Transparency: If You become a Human Ambassador, we reserve the right to publish your name and any contributions on our website or any related channels or public forms for marketing and community engagement purposes. You will not represent yourself as part of the Foundation or its affiliates or use its trademark, brand or assets without its consent.

Third party websites: When you access third-party websites through the HUMAN website, you do so at your own risk. We don't control or endorse those sites. Information you provide to those third parties is governed under their terms and conditions.

Governing law: These HAEP Terms and the rights and obligations of the parties shall be governed by and construed in accordance with the laws of the Cayman Islands, without regard to its conflict of laws provisions.

Indemnity: The Foundation does not make or purport to make, and hereby disclaims, any representation or warranty in any form whatsoever, whether express or implied, including any representation or warranty in relation to the HAEP; any information set out on the website, its official channels or any other place; and your application or contributions. To the fullest extent permitted by law, in no event will the Foundation or its affiliates, its directors, employees, partners, suppliers, or content providers be liable for any direct, indirect, incidental, punitive, consequential, special, or exemplary damages of any kind, including but not limited to damages (i) resulting from your access to, use of, or inability to access the HAEP; (ii) for any lost profits, data loss, or cost of procurement or substitute goods or services; or (iii) for any conduct or content of any third party on the website. You agree that this limitation of liability is a material part of these terms and that the foundation would not provide the HAEP without it.

Acceptable Use Policy: You may not take any action to interfere with the HAEP or abuse, manipulate the HAEP in any way. You are required to comply with all statutes, orders, regulations, rules, and other laws applicable to you. Without limiting the foregoing, You shall not to speak about or refer to the Foundation, its affiliates, partners, or their respective products or services directly or indirectly, without disclosing that the Foundation, its affiliates, or partners paid for Your services, including without limitation, when blogging or speaking about HMT or the blockchain network on which it may be used or transferred known as the “Human Protocol”, the Foundation or its affiliates, partners, or their respective products or services on Your personal blog or social media sites (e.g., Facebook, Twitter, Instagram, etc.) or if asked to speak in an editorial or expert capacity (including though live appearances or through any media) in any situation in which it is not obvious that You are acting on behalf of the Foundation, its affiliates, or partners. You shall state his or her honest views and personal experiences with the Foundation, its affiliates, partners, or their respective products or services. You shall ensure that disclosure regarding as set forth above appear clearly and conspicuously and in close proximity to any statements You make about the Foundation, its affiliates, partners, or their respective products or services. The Foundation may reject any of Your materials or other publications that are not compliant with this section, in its sole discretion. You will also remove, delete and/or take down any of information, materials or other publications that you publish, in any medium and in any form, upon the Foundation’s request. Any assistance or instructions provided by the Foundation to You in connection with the HAEP or, will not change or modify Your obligations under the HAEP Terms or create any liability for the Foundation.

In addition, we expect all ambassadors and emissaries to respect the rights and dignity of others. The reward of any HMT is conditioned on your compliance with the HAEP Terms. You shall not cause or encourage others to perform, seek to, or undertake any  illegal, harmful, fraudulent, infringing, or objectionable activities. Here is a non-exhaustive list of activities that You are prohibited from performing, seeking to perform, or undertaking to perform in connection with your participation in the HAEP: (a) any act or omission which might bring the Foundation and its affiliates into public disrepute; (b) any action or omission that would infringe any applicable laws and regulations, including Anti Money Laundering /Countering of the Financing of Terrorism laws and regulations; (c) publication of any information or content in any submission or application that is illegal or criminal, false, fraudulent, deceptive, misleading, defamatory, threatening, libelous, slanderous, disparaging, unlawfully harassing, profane, obscene, pornographic, hateful, indecent, inappropriate or injurious to any individual or any third party; (d) disrupting, manipulating, or degrading the operation of the HAEP; (e) phishing, spamming, or pharming; (f) unsolicited contacting of the HUMAN Protocol’s users or other abusive behavior; (g) illegal advertising or fraudulent marketing activities; (h) infringing or misappropriating the rights of others; and (i) creating a security risk for the Foundation, the HUMAN Protocol, the HAEP or for any applicant or rewardee.
